Data-room review
A structured read of the seller's documentation: what is there, what is missing, what contradicts itself, and which gaps a buyer's advisor will find first.
Feefrom €3,000 (USD 3,500) · 5 working days
Where the value is
Every gap in the data room becomes an open point, and every open point becomes a price argument. Closing the list before the other side builds it protects both the price and the timetable.
Is this for you?
You are preparing a sale, a refinancing or an acquisition and want to know how the technical documentation will hold up under a buyer's or lender's due diligence. We read the data room the way their technical advisor will, and give you the list before they do.
Scope of work
- 01
Index check — the data room is mapped against our technical document checklist: permits and approvals, as-built drawings, area schedules, building services documentation, maintenance contracts and logs, statutory inspection certificates (fire safety, lifts, electrical), energy certificate, CapEx history and budgets, warranties and defect lists.
- 02
Content review — the technical documents are read for completeness, currency (dates, expiries, open conditions) and internal consistency, for example areas that differ between documents or a permitted use that differs from the current use.
- 03
Gap and conflict list — every missing, outdated or contradictory item is recorded with its source and ranked by priority: high (price- or timetable-relevant), medium, low.
- 04
Requests — for each high and medium item we draft the document request or Q&A question, ready to send.
What you receive
- Findings list (Excel) with priority ranking and a source reference for each point.
- Summary memo of 2–4 pages with the ten points that matter most.
- One 60-minute call to walk through the findings.
Not included
- Site visit and any physical inspection (see Module C).
- Cost estimates for remedial works (see Module C).
- Legal review of title, leases or permits, environmental, tax or valuation advice.
- Verification that documents are authentic or complete beyond what the data room shows.
What we need from you
- Read and download access to the data room, and a named contact for questions.
- Asset key data (address, use, gross floor area, year of construction) and the transaction timetable.
